The following Terms and Conditions govern your participation in the Comoto Riders Plus Membership program (“RPM” or the “Program”). Comoto Holdings, LLC and each of its affiliated companies, including RevZilla, J&P Cycles, and Cycle Gear are collectively referred to in these Terms and Conditions as “Comoto”, “we”, or “us.”  You are responsible for reading these Terms and Conditions prior to enrolling in RPM in order to understand your rights, responsibilities, and status in the Program. Overview and Benefits of RPM
RPM is a customer loyalty program for RevZilla, J&P Cycles, and Cycle Gear customers that rewards you for purchases at all three retailers. RPM provides the following benefits. Click on any of the headings for more details.
Free 2-day Shipping on Qualifying Items

RPM members receive free two-day shipping on orders shipped within the continental United States (not applicable in AK or HI). Additional charges may still apply for unqualified or oversized orders.

Free Returns
As an RPM member, you receive free standard return shipping on orders shipped within the continental United States (not applicable in AK or HI). Additional charges may apply for oversized items, heavy items, hazardous materials, and other items that require specialty shipping. RPM members enjoy fast processing of returns, with no restocking, processing, or exchange fees.

$15 Welcome Cash
When you join RPM as a new member, you automatically receive $15.00 in RPM Cash as a “Welcome Gift.”  RPM Cash earned as a Welcome Gift may take up to 48 hours to appear in your account. All standard terms and conditions described in these Terms and Conditions apply to RPM Cash earned as a Welcome Gift. Welcome Gifts are limited to one per customer, and are not available to any customers who were previously enrolled in RPM or the J&P Gold Club.

5% RPM Cash Reward on Qualifying Purchases
RPM members earn five percent (5%) rewards cash on all qualifying purchases from RevZilla, J&P Cycles, and Cycle Gear. Exclusions and limitations apply. Please see RPM Cash Terms, below.

RPM members receive free REVER Pro access during their membership term, which unlocks features including turn-by-turn voice navigation, no ads, mobile route planning, offline maps, and 3D flyover. Not all REVER “Pro Perks” are included in this promotional membership, and are subject to change at any time without notice.

Motorcycle Rental Discounts
For a limited time, RPM members receive 25% off or 1 day free on a 3+ day motorcycle rental, and 10% off all other rentals from Twisted Road. All of Twisted Road’s terms and conditions apply. Comoto is not affiliated with Twisted Road, and has no responsibility for your safety. But we do sell helmets.  Please ride safely.

Ability to Earn and Use Benefits at RevZilla, J&P Cycles, and Cycle Gear
The benefits described in these Terms and Conditions, including RPM Cash are available at RevZilla, J&P Cycles, and Cycle Gear. Members can earn RPM Cash at one retailer, and use it at any of the others.

Exclusive Products/Sales/Early Releases
From time to time, RPM members will receive notification of exclusive access to certain products, sales, or early releases of products in-stores, online, or both.

Access to Concierge Phone Line and service
RPM members receive an exclusive phone number for direct access to our customer service representatives. Our concierge reps are here to help not only with things like questions about shipping or returns, but also with finding the best products for your individual needs, answering questions about sizing and fit, and so much more. Our concierge phone number and hours of operation are listed on your RPM My Account page. You may also schedule 1:1 time with an expert on your ride type.

Exclusive Member Content
RPM Members receive access to exclusive video, photo, online, and print content created by some of the most creative and influential journalists, photographers, videographers, and content creators in the industry.

Member Exclusive Events & Experiences
RPM members may receive invitations to exclusive events and experiences. Invitations will be sent by email. Events are not predetermined, may be limited to selected locations at Comoto’s sole discretion. An opportunity to participate in our events and experiences is not guaranteed due to limited dates, times, locations, and capacity. Please follow the instructions in your invitation email to register. If an event books to capacity, a waitlist will be created and you will be notified of any availability.


Free Access to the National Motorcycle Museum
RPM members receive free, unlimited admission the National Motorcycle Museum located in Anamosa, IA. Proof of RPM membership is required for free admission. Free admission is limited to one individual RPM member, and may not be transferred to any other person.

COST OF MEMBERSHIP
Participation in RPM requires payment of a membership fee of $59.99 plus tax per year. Purchases of membership may not be returned or cancelled.

HOW TO JOIN
You can join RPM online by adding RPM membership to your cart. You may also join in-store or by calling customer service. Membership requires you to provide us with an email address and other information described in the application form. Information you provide to us is subject to our Privacy Policy.

EARNING RPM CASH
RPM Cash is earned when you purchase qualifying products and services from RevZilla, J&P Cycles, or Cycle Gear—whether online or in-store. RPM members earn five percent (5%) rewards cash (referred to as “RPM Cash”) on all qualifying purchases from all three retailers, which will appear in your online account when your order ships. There is no minimum purchase amount to earn RPM Cash, and RPM Cash does not expire. RPM Cash cannot be purchased.
For online purchases, you must be logged into your account at the time of checkout in order to earn RPM Cash. RPM Cash will be added to your account at the time your order ships. For in-store purchases, you must provide the cashier with your email address at the time of checkout.

          Limitations and Exclusions on Earning RPM Cash
RPM Cash is earned based on the final amount paid for an item (not including taxes, shipping, or processing charges), after all discounts, exclusions, and rewards are applied.
The following types of purchases are not eligible for earning RPM Cash:

• Gift Certificates
• RPM subscriptions
• Excluded Products and Services.

          The Value of RPM Cash
RPM Cash is worth its face value equivalent to the U.S. dollar in store credit at RevZilla, Cycle Gear, or J&P Cycles. RPM Cash is not legal tender, and has no value beyond RevZilla, Cycle Gear, and J&P Cycles.

          RPM & RevZilla ZillaCash
If you participated in RevZilla ZillaCash before joining RPM, when you join RPM, all of your ZillaCash will be automatically converted to RPM Cash of an equal value, and your ZillaCash account will be closed. During the term of your RPM membership, you will be able to earn RPM Cash on qualifying purchases at RevZilla, but will no longer earn ZillaCash.

REDEEMING RPM CASH
RPM Cash can be redeemed at checkout, both in-store and online at RevZilla, J&P Cycles, and Cycle Gear. For online purchases, you must log into your account before finalizing your payment method in order to apply your RPM Cash to a purchase. For in-store purchases, simply provide the email address associated with your account to the cashier who can look up your account and apply your RPM Cash.
RPM Cash may be used to pay for all or part of your order in addition to credit cards, debit cards, cash, gift certificates, or any other accepted payment method.  RPM Cash used as payment will be deducted from your account immediately upon purchase.

          Limitations and Exclusions on Redeeming RPM Cash
Certain products and services may not be purchased using RPM Cash. For example, RPM Cash cannot be used to purchase gift certificates. For the current list of excluded products and services, please click here. This list is subject to change at any time, without prior notice. RPM Cash generally may not be redeemed for cash unless required under the laws of certain states and when applicable statutory requirements are met.

          Combining RPM Cash with Other Promotions, Discounts & Sales
RPM Cash can be redeemed along with other rewards, promotions and discounts, subject to exclusions on certain items which may be announced from time to time. Your RPM Cash balance will be applied after any other discounts are applied to your purchase.
RETURNS & CANCELLED ORDERS.

Purchases on Which You Earned RPM Cash

• Any RPM Cash earned from a purchase that is later returned will be deducted from your account. As a result, it is possible your RPM Cash account could have a negative balance if you use your RPM Cash before the merchandise is returned. Your RPM Cash account balance will remain negative until such time as you have made qualifying purchases that earn RPM Cash sufficient to bring your account positive.

Purchases Made With RPM Cash

• If you return merchandise that was purchased entirely or partially with RPM Cash, we will transfer the RPM Cash used back to your RPM account once the return is processed. For more information on returns, please review our Return Policy.
• Cancelled Orders

If RPM Cash is awarded for a purchase and the item is cancelled from your order prior to shipping, you will not be charged and you will not receive RPM Cash for that item.

MEMBERSHIP ELIGIBILITY
RPM membership is available to any individual United States resident who is at least sixteen (16) years old, and is not an employee of Comoto, RevZilla, J&P Cycles, Cycle Gear, or REVER. Corporations, groups, and associations are not eligible to participate in the Program.

MEMBERSHIP TERM & RENEWAL
Membership in RPM begins on the date of purchase, and continues for one (1) year. At the end of your membership term, you will have the opportunity to renew for another year at the then-current membership rate. If you decide not to re-enroll, any previously earned RPM Cash will remain available in your account, but your membership in RPM and all other benefits associated with membership will terminate.

TERMINATION OF MEMBERSHIP 
We may terminate your RPM membership, without notice, for any reason, at any time, at our sole discretion, including, without limitation, our belief that your continued use of your membership would violate these Terms and Conditions, applicable law, or otherwise be harmful to our interests. In the event we terminate your membership for any of these reasons, you will not be entitled to a refund (full or partial) of your membership fee, you will forfeit your RPM Cash, and will no longer be eligible for any of the benefits of the Program. Individuals whose RPM accounts have been terminated, are not allowed to re-enroll in RPM, ZillaCash or any other Comoto loyalty program whether under the same or a different username.

PROGRAM CHANGES 
We may alter, limit, modify or terminate the Program, the Program structure, any feature of the Program, or these Terms and Conditions in our sole and absolute discretion at any time upon thirty (30) days’ notice, even though such changes may affect the value of your benefits or RPM Cash, or the ability to obtain further rewards and benefits. Notice will be provided by posting an updated version of these Terms and Conditions on our website. Your continued participation in the Program will confirm your acceptance of such changes.
Notwithstanding the foregoing, we reserve the right to modify our list of Excluded Products and Services at any time without advanced notice.

TAXES
Members are responsible for any tax liability related to their participation in the Program.  You as a member also acknowledge that if your RPM Cash goes unused for a sufficient amount of time, it may become unclaimed property and be escheated in accordance with applicable state law.

PROGRAM COMMUNICATIONS
We generally communicate with RPM members by email. By participating in the Program, you are opting-into receiving our email communications, which may include those regarding Program benefits, special offers and your RPM Cash, as well as marketing emails relating to our products and services. You will remain opted-into our email communications until such time as you opt-out, even if your RPM membership ends. You may opt-out of our marketing emails at any time by clicking the link found at the bottom of each email we send. Please make sure to keep your account contact information (including your email address) up to date; Comoto is not responsible for communications, offers, or rewards sent based on out-of-date information.
RPM members may also have the opportunity to receive communications via text message/SMS. In order to receive text messages, you will need to expressly opt-in. To stop receiving our text messages, just send us a text from your mobile phone with the word STOP, STOP ALL, END, QUIT, CANCEL or UNSUBSCRIBE. If you unsubscribe from text messages, we will stop all text communications with you.
Consenting to our marketing communications is not required for you to participate in RPM. Please note that even if you opt out of receiving our marketing communications, we may continue to send you non-marketing or non-promotional communications by email, such as those about your account, orders, or Program benefits.

Privacy
Personal information you provide in connection with the Program is subject to our Privacy Policies. By participating in the Program, you agree to the terms of our Privacy Policies, which are incorporated by reference. For more information about how we keep personal information private and secure, please review our Privacy Policy. Your use of REVER, including if you choose to activate REVER Pro as one of the benefits provided to you under the Program, is subject to its Privacy Policy and Terms of Use.

Additionally, you expressly agree as an RPM member to the sharing of your personal information between and among the Comoto brands (including RevZilla Cycle Gear, J&P Cycles, and REVER).
For California residents who participate in RPM, if you submit a request to delete your personal information, that request will not result in the deletion of your personal information required to continue to provide you with Program benefits. Should you wish delete your personal information associated with your RPM account (and thereby cancel your participation in the Program), please contact us at [privacy@comotoholdings.com with the subject line Attn: Data Compliance Officer].

ACCOUNT SECURITY
We have implemented appropriate and reasonable physical, technical, and administrative safeguards to help prevent unauthorized access to, use of, and disclosure of, your personal information, including your RPM account information. However, there is no perfect security, and we cannot guarantee the security of this information. You are responsible for maintaining the secrecy of any credentials used to access your account with us and you should report suspected unauthorized activity to us immediately. Comoto is not responsible for, and assumes no liability for, any purchases made using your account credentials.
Comoto specifically reserves the right to terminate your access to the Program and any contract you have with Comoto in the event we learn or suspect you have disclosed your account or password information to an unauthorized third party.

Sweepstakes, Contests, Promotions, and Surveys
From time to time, RPM members may have the opportunity to participate in contests, sweepstakes, raffles, surveys, games or other similar promotions. Each contest or promotion may have additional rules that apply in addition to these Terms and Conditions. Please review the applicable rules as well as our Privacy Policy prior to participating. If the promotion rules conflict with these Terms and conditions, the promotion rules will govern for purposes of that promotion only.

Intellectual Property
Comoto owns all rights, title and interest in the Program, the names Riders Plus Membership and RPM, and Comoto’s websites, as well as all text, content, graphics, interfaces, code and materials, the look and feel, selection and arrangement, design and organization of the Program and our websites, and the compilation of the content, code, data and materials on or associated with the Program and websites, including all intellectual property and proprietary rights. The content of the Program and our websites is protected under United States and other copyright laws, and is the property of Comoto. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works or in any way exploit any of the content of the Program or our websites, in whole or in part. No copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of Comoto or the copyright owner is permitted.
All words and symbols designated by ® or ™ and used on or in connection with our products, marketing materials, Riders Plus Membership, RPM, RPM Cash, or the websites (collectively the “Marks”) are trademarks or registered trademarks of, and are proprietary to, Comoto or other owners that have granted Comoto the right and license to use such Marks. For clarity, there may be instances where trademark symbols are omitted for creative reasons, which does not impact the validity or enforceability of these Marks. You may not display or reproduce the Marks other than with the prior written consent of Comoto, and you may not remove or otherwise modify any trademark notices from any content.
Any copying, distributing, transmitting, posting, linking, deep linking or otherwise modifying any materials associated with the Program or our websites without our express written permission is prohibited. Any violation of this section may result in copyright, trademark, service mark or other intellectual property right infringement that may subject you to civil and/or criminal penalties. Comoto further reserves the right to terminate your participation in the Program and your use of our websites if you infringe our or any other person’s intellectual property rights.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER COMOTO NOR ANY OF ITS EMPLOYEES, AGENTS, PARTNERS, SERVICE PROVIDERS, CONTENT PROVIDERS OR LICENSORS, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER FOR BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF THE PROGRAM, PARTICIPATION OR INABILITY TO PARTICIPATE IN THE PROGRAM, USE OF OR INABILITY TO USE ANY OF THE BENEFITS ASSOCIATED WITH THE PROGRAM, YOUR OR OUR OBLIGATIONS UNDER THE PROGRAM, THESE TERMS AND CONDITIONS, OR OUR PRIVACY POLICY, EVEN IF COMOTO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Under no circumstances will we be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond our reasonable control.
IN NO EVENT SHALL COMOTO’S TOTAL LIABILITY EXCEED, IN THE AGGREGATE FOR ALL CLAIMS ARISING UNDER OR RELATED TO THE PROGRAM, AN AMOUNT THAT IS THE GREATER OF: (A) TWO HUNDRED AND FIFTY DOLLARS (USD $250.00); (B) THE AMOUNT THAT YOU HAVE PAID US IN THE LAST YEAR TO PARTICIPATE IN THE PROGRAM; OR (C) THE AMOUNT OF RPM CASH THAT YOU HAVE EARNED IN THE LAST YEAR.
YOU ACKNOWLEDGE THAT COMOTO WOULD NOT PROVIDE THE RPM PROGRAM OR THE BENEFITS ASSOCIATED WITH THE RPM PROGRAM IF NOT FOR THE FOREGOING LIMITATIONS, AND THAT THESE LIMITATIONS OF LIABILITY ARE ESSENTIAL ELEMENTS OF THE TERMS AND CONDITIONS. THESE LIMITATIONS OF LIABILITY REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES. THE LIMITATIONS SPECIFIED IN THIS SECTION WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THE TERMS AND CONDITIONS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
Because some jurisdictions do not allow A limitation or exclusion of liability IN ALL CIRCUMSTANCES, in those jurisdictions, COMOTO’s liability shall be limited to the extent permitted by law.

Indemnification
You agree to indemnify, defend, and hold harmless Comoto, its parents and affiliates, together with their respective employees, agents, directors, officers, suppliers, and shareholders from and against any and all claims, demands, actions, costs, liabilities, losses of any kind (including attorneys’ fees) arising out of your participation in the Program, use of Comoto’s websites, your breach or alleged breach of these Terms and Conditions, or your breach or alleged breach of the copyright, trademark, proprietary, or other rights of Comoto or third parties.

Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE YOUR CLAIM HEARD BY A JURY.
Our customer service team is here to assist you with any issues you may encounter with RPM, your RPM membership, our websites, or products. Please do not hesitate to contact us—our contact information is provided at the end of these Terms and Conditions.

Agreement to Mediation and Arbitration
Any and all disputes, claims, and causes of action between you and Comoto, including those arising out of or connected with RPM, any benefits associated with RPM, these Terms and Conditions, or our Privacy Policy that cannot be settled through informal discussions shall be first submitted to mediation administered by the American Arbitration Association (“AAA”) under its Commercial Mediation Procedures before resorting to binding arbitration. Any dispute, claim, or cause of action that is not resolved by mediation shall be settled by binding arbitration administered by the AAA in accordance with its Commercial Arbitration Rules. Payment of all filing, administration and arbitrator fees will be governed by the AAA's applicable rules, and we will reimburse those fees if your claims at issue seek less than $10,000. Likewise, we will not seek attorneys’ fees and costs in arbitration. Judgment on any award rendered by the arbitrator may be entered in any state or federal court of competent jurisdiction.

Exclusions from Arbitration
Notwithstanding the above, you or Comoto may choose to pursue a dispute in court and not by arbitration if the dispute qualifies for resolution in small claims court. Comoto may seek injunctive relief, damages, or other appropriate relief in state or federal court if the dispute involves an infringement or threatened infringement of Comoto’s intellectual property rights. Any such dispute brought by you or Comoto in court shall be filed in the state or federal courts located in Philadelphia, Pennsylvania, and you consent and agree to the personal jurisdiction and venue of these courts.

Class Action Waiver
You agree that, to the maximum extent permitted by applicable law, any and all disputes, claims, and causes of action arising out of or connected with Comoto’s websites, these Terms and Conditions, or our Privacy Policy will be resolved on an individual basis, without resort to any form of class action or mass action. This provision shall not be construed as a waiver of your right to seek public injunctive relief as provided under California law to the extent such right may otherwise be available to you.

Time Limitation
You agree to bring any and all claims against Comoto within one year from the date of accrual of a cause of action, and that actions brought after this date will be deemed time-barred.

TRANSFER & ASSIGNMENT
RPM Cash, benefits, and membership are not transferable and may not be sold, gifted or assigned by you. Attempts to transfer your RPM benefits will invalidate your membership, and you will forfeit your RPM Cash. Upon the death of a member, the member’s account will be closed and any RPM Cash in the account will be forfeited.
Comoto may assign or transfer its rights and obligations in RPM, or under these Terms and Conditions to any company or person at any time, without restriction, and without prior notice.

No Waiver
No delay or failure by Comoto to enforce any provision in these Terms and Conditions shall constitute a waiver of any of Comoto’s rights. Neither the receipt of any funds by Comoto nor the reliance of any person on our actions shall be deemed to constitute a waiver of any part of these Terms and Conditions. Only a specific, written waiver signed by an authorized representative of Comoto shall have any legal effect.

Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect.

Governing Law
Any disputes arising out of or related to the Program, these Terms and Conditions, and/or your use of our websites shall be governed by the laws of the United States and the Commonwealth of Pennsylvania, without regard to choice-of-law rules and without regard to conflicts-of-laws principles.

Complete Understanding
These Terms and Conditions and the Privacy Policies referenced herein constitute the entire understanding between you and Comoto with respect to the Program. The current version of these Terms and Conditions supersede all other descriptions and communications relating to the Program.
